No verbal agreement to supply goods is effective unless specifically stated in writing with all charges detailed. 2.2 No variation to these conditions shall be binding unless agreed in writing between the customer and Myrak. 2.3 Myrak’s employees or agents are not authorised to make any representations concerning the goods unless confirmed by Myrak in writing. In entering into the contract the customer acknowledges that it does not rely on any such representations, which are not so confirmed. 2.4 Any advice or recommendation given by Myrak or its employees or agents to the customer or its agents as to the storage or use of the goods which is not confirmed in writing by Myrak is followed or acted upon entirely at the customers own risk, and accordingly Myrak shall not be liable for any such advice or recommendation which is not so confirmed. 2.5 Any typographical clerical or other error or omission in any sales literature, quotation, price list, acceptance of offer, invoice or other document or information issued by Myrak shall be subject to correction without any liability on the part of Myrak. 2.6 No order which has been accepted by Myrak may be cancelled by the customer except with the agreement in writing of Myrak and on terms that the customer shall indemnify Myrak in full against all loss (including loss of profit), costs (including the cost of all labour and materials used), damages, charges and expenses incurred by Myrak as a result of cancellation. 2.7 Any goods returned will be subject to a 10% handling fee on inspection of the goods.
3.1 Except as otherwise stated under the terms of any quotation or in any price list of Myrak, and unless otherwise agreed in writing by Myrak, all prices are given by Myrak on an ex works basis, and where Myrak agrees to deliver the goods otherwise than at Myrak’s premises, the customer shall be liable to pay Myrak’s charges for transport, packaging and insurance. 3.2 The price is exclusive of any applicable value added tax, which the customer shall be additionally liable to pay to Myrak. 3.3 Payment for the goods shall occur on the date provided for in this contract or at any time after Myrak has notified the customer that the goods are ready for collection or (as the case may be) Myrak has tendered delivery of the goods. 3.4 The customer shall pay the price of the goods on the due date for payment and Myrak shall be entitled to recover the price, notwithstanding that delivery may not have taken place and the property in the goods has not passed to the customer. The time of payment of the price shall be of the essence of the contract. Receipts for payment will be issued only upon request. 3.5 If the customer fails to make any payment on the due date then, without any prejudice to any other right or remedy available to Myrak, Myrak shall be entitled to: 3.5.1 Cancel the contract or suspend any further deliveries to the customer. 3.5.2 Appropriate any payment made by the customer to such of the goods (or the goods supplied under any other contract between the customer and Myrak) as Myrak may think fit (notwithstanding) any purported appropriation by the customer); and 3.5.3 Charge the customer interest (both before and after any judgement) on the amount unpaid, at the rate of 4 per cent pet annum above Barclays bank base rate from time to time, until payment in full is made (a part of a month being treated as a full month for the purpose of calculating interest).
In order to reserve goods to be held by us for a customer a down payment shall be paid on agreeing the sale price and in the event the customer fails to pay the balance when due we reserve the right at our sole discretion to retain the down payment as compensation for administration costs, inconvenience, loss, storage charges and the like. All other payments made as noted on this form are non refundable.
Customers unable to complete payment on the due date for payment will be notified and if no satisfactory written contact is received within 14 days, Myrak reserves the right to sell the goods and any losses incurred will be charged to the customer, including all costs of storage, security and insurance.
Myrak does not warrant that the goods comply with any government regulations, CE marking, road traffic legislation, health and safety specifications or otherwise.
